The Commercial Paralegal is a strong individual contributor to the Abbott Rapid Diagnostics Commercial legal department providing legal support to all the business units, having the potential to substantially impact the Company’s business operations. The Commercial Paralegal supports the business in the achievement of business objectives by communicating advice of the Legal Department and managing legal risks to the corporation.WHAT YOU’LL DODraft, review and negotiate commercial contracts, including but not limited to master sales agreements, software license agreements, CDAs, purchase and services agreements, etc.

Identify basic legal issues related to assigned matter

Perform substantive legal work that requires knowledge of legal concepts including analysis, preparing contract summaries, etc.

Resolve routine legal matters in area of responsibility with direct supervision from more experienced paralegals, paralegal supervisor and/or attorneys

Assist attorneys in resolving legal issues on projects involving multiple disciplines within the Legal Division and/or multiple functional areas or divisions within Abbott

Developing knowledge of Abbott’s business and client areas supported

Keep abreast of changes in laws that affect client areas

Proactively interact with internal clients in reviewing and finalizing commercial agreements such as relating to contracts & pricing, intellectual property or commercial sales function.

Support attorneys on more complex legal agreements, assembling exhibits and schedules, coordinating input from other stakeholders

Maintain templates in document management system and help prepare updates to templates

Advise legal department managers of project developments in a timely manner

Execute core job responsibilities in a timely manner, and respond timely on matters typically have a significant impact on business activities and operations

Interact across all levels of management

No direct department budget responsibility; must however operate within budget. Where necessary, assist in the development of estimates for outside counsel fees for assigned legal matter with supervision from more experienced paralegals and/or attorneys

EDUCATION AND EXPERIENCE YOU’LL BRINGRequiredBachelor’s Degree and relevant legal education (Paralegal certificate)

2- 4 years of relevant Commercial legal experience with Sales and Procurement agreements

PreferredHealthcare or Information Technology industry experience preferred
