Senior Associate (King & Spalding LLP) (Denver, Colorado)Draft, review,& provide advice on all aspects of project finance,

corporate contracts & related ancillary documents, from inception through

closing: engineering procurement contracts (EPC), operation &

maintenance contracts (O&M), project agreements/deeds, power

purchase agreements, consultant agreements, general supply agreements &

other miscellaneous general construction, infrastructure, M&A & energy

agreements. Act for a variety of developers & large-scale contractors &

regularly providing advice during the contract negotiation and drafting phases

including, risk allocation & mitigation, tendering processes & ongoing

dispute management.Position requires a J.D., LL.M., or foreign equivalent. The position

further requires a license to practice law in the jurisdiction the Associate

is based & a minimum of five years of professional experience as an

attorney with a large Law Firm representing power, energy &/or

infrastructure projects matters, in the mergers & acquisitions, finance

&/or construction spaces. Experience must include: Providing legal

advice on all aspects of design & construct contracts, engineering

procurement contracts (EPC), operation & maintenance contracts

(O&M), project agreements/deeds, consultant agreements, general

supply agreements & other miscellaneous general construction,

infrastructure and energy agreements. Advising private equity clients in

relation to key energy portfolio investments. Counselling on the full suite of

documentation required for the procurement, delivery & financing of major

projects (including mega-projects). Participating in legal processes

related to complex green hydrogen, carbon-capture, wind, solar,

renewable fuels & other green energy & infrastructure projects. Domestic

& International travel required 10% of time. Location impossible to
