Job Summary and Qualifications

The Ambulatory Surgery Division VP of Transactions leads the process focused on the identification, pursuit, and closing of ambulatory surgery center (ASC) acquisition transactions and from the ground up development projects. Reporting to the SVP, the ASD Development Senior Vice President and is part of a dedicated ASD Development team that includes: a) additional transaction-focused Vice Presidents and Directors who identify and pursue new opportunities, negotiate deal terms, and manage the business and legal aspects of ASC acquisition and de novo projects; b) a financially-focused Vice President and Directors who develop and evaluate financial pro formas and business cases for each potential project; and c) a Vice President and Directors for Integration who drive the transition and integration of new ASCs that result from transactions.

The VPT will act as the primary lead and point person on a portfolio of ASC acquisition and de novo development projects. These projects involve opportunity identification, preliminary proposal development, letter of intent development and execution, detailed due diligence, definitive agreement development and execution, and transition and integration planning activities. In addition to coordinating project activities with the SVP Development and one or more Directors of Development who are focused in the VPT’s assigned market areas, the VPT will also work closely and regularly with a broad, interdisciplinary team drawn from ASD leadership, HCA corporate functions, in-market hospital division leadership, and external consultants. These professionals will provide expertise in areas like legal, compliance, facilities design and construction, human resources, information technology, etc.

Areas of Focus:

  • Working regularly and consistently with ASD leadership and HCA hospital leadership within selected markets to identify and prioritize ASC acquisition opportunities.
  • Working independently and with DTs to source new opportunities, structure major deal terms, negotiate with Sellers (primarily physicians and third party management companies), and close ASC transactions which are operationally feasible and which achieve targeted financial, strategic, and other outcomes.
  • Working closely with internal and external legal counsel to develop, negotiate, and execute letters of intent and definitive agreements.
  • Reviewing and critically evaluating pro formas and business case documents prepared by the ASD Development financial analysis team (excellent financial acumen and Excel skills required).
  • Assembling, reviewing, and finalizing physician-facing proposal summaries (strong PowerPoint skills required).
  • Assembling, reviewing, and finalizing internal project summaries for Division and Group leadership review and approval (strong PowerPoint skills required).
  • Securing capital approvals from ASD leadership as well as HCA hospital division and group leadership.
  • Conducting and managing detailed due diligence activities, coordinating the efforts of a broad, diverse due diligence and transition/integration team (utilizing DevLink, an HCA-customized version of Salesforce, to track progress).
  • Reviewing and assessing third party appraisals.

Experience Needed:

  • Bachelor’s degree in Health, Business Administration, or related field.
  • Graduate degree in Health, Business Administration, or related field a plus.
  • Equivalent work experience may be substituted for degree requirements.
  • Minimum 10 years’ experience in business, finance, development, or related field.
  • Experience with ASC facility transactions strongly preferred.
