Senior Commercial Counsel We are looking to add a talented and energetic senior commercial attorney to our expanding Legal team. This position requires an attorney with excellent problem-solving skills who can manage multiple, high priority projects in a fast-paced environment. This position will be based out of San Francisco, CA office (working remotely for now).

Responsibilities
  • Drafting, reviewing and negotiating a broad range of commercial agreements including sales, vendor, license, non-disclosure, referral, partnership, service and other agreements
    • Negotiate contracts, SaaS subscription agreements for various products and services
  • Working independently to resolve issues and complete projects without oversight
  • Effectively partnering with stakeholders across the company to drive consistent results
  • Responsible for legal stakeholder for emerging vendor management program
  • Responsible for Privacy and Data Protection and compliance
  • Support the continuous improvement of standard form agreements and internal legal and compliance processes
  • Monitor and self-study regulatory developments relevant to SaaS and software industries

Required skill set
  • Minimum of 6-10+ years of experience drafting, reviewing and negotiating commercial agreements for technology companies – at a law firm, in-house or both
  • Proven ability to proactively support U.S. and international sales teams and direct all aspects of the contract management cycle
  • Proven track record handling issues related to enterprise software licensing, SaaS agreements, intellectual property and US and EU privacy and data protection laws.
  • Experience with GDPR (General Data Protection Regulation), CCPA (California Consumer Privacy Act), and have the ability to negotiate Data Processing Agreements (DPA).
  • Strong understanding of commercial legal concepts and astute drafting and contract negotiation skills, with an exceptional attention to detail
  • Proficiency using CRM software such as Salesforce
  • Outstanding professional judgment and excellent communication and interpersonal skills
  • Ability to develop relationships with internal stakeholders, clients, vendors and partners
  • Sense of humor and positive attitude
Desired skill set
  • CA Bar licensed attorney with JD degree or equivalent
  • Experience working at a B2B SaaS software company, preferably in Martech.
